Product-Specific Terms
Eykegai’s products may be provided as software-as-a-service platforms, mobile applications, web applications, internal tools, pilot products, beta releases, minimum viable products, enterprise systems, hosted platforms, or custom-configured software solutions.
Certain products may be governed by separate legal terms, including but not limited to product terms of use, user agreements, pilot or beta participation terms, subscription agreements, implementation agreements, service level terms, data processing agreements, community rules, acceptable use policies, platform policies, order forms, statements of work, support terms, payment terms, cancellation terms, and product-specific privacy notices.
Where product-specific terms apply, those terms shall apply in addition to these website Terms.
In the event of any inconsistency or conflict between these general website Terms and any product-specific terms, the product-specific terms shall prevail in relation to the relevant product, service, pilot, platform, software environment, or commercial engagement.
For clarity, J-Pool may have separate terms governing Hosts, Pals, verified users, communities, journey coordination, onboarding, safety, payments, cancellations, verification, platform access, acceptable use, community participation, and operational responsibilities.
Synergy, Insight, and CORE may have separate terms governing software access, business users, administrative roles, client data, subscriptions, pilots, implementation, integrations, configuration, support, service availability, data processing, account permissions, and customer responsibilities.
Website Use
You agree to use this website lawfully, responsibly, and only for legitimate purposes.
You must not use this website in any unlawful, fraudulent, harmful, misleading, abusive, or malicious manner. You must not attempt to gain unauthorised access to the website, server, database, administrative areas, user accounts, source code, infrastructure, or connected systems.
You must not introduce viruses, malware, worms, trojans, logic bombs, harmful code, scripts, bots, or other technologically harmful material.
You must not scrape, crawl, harvest, extract, copy, or reproduce website data or content without our prior written permission.
You must not interfere with the security, availability, performance, integrity, or functionality of the website.
You must not impersonate Eykegai, its representatives, another user, company, organisation, or third party.
You must not submit false, misleading, defamatory, discriminatory, offensive, unlawful, or infringing content.
You must not use the website to send spam, unsolicited communications, or unauthorised promotional material.
You must not reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, architecture, or underlying systems of any Eykegai product, unless expressly permitted by law.
We reserve the right to restrict, suspend, block, or terminate access to the website where we reasonably believe these Terms have been breached or where access may create legal, technical, security, operational, regulatory, or reputational risk.
Accounts, Access and Submitted Information
Some areas of the website or associated product pages may allow you to submit information, register interest, request a demo, join a pilot, download a resource, subscribe to updates, or contact us.
Where you submit information to us, you confirm that the information is accurate, complete, lawful, and not misleading.
If account access is provided for any Eykegai product, platform, dashboard, pilot environment, staging environment, test instance, client portal, or software workspace, you are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account, unless caused by Eykegai’s negligence, security failure, or breach of its own obligations.
You must notify us promptly if you believe your account, access credentials, workspace, organisation profile, or authorised user access has been compromised.
Eykegai may suspend or restrict account access where we reasonably believe there has been unauthorised use, misuse, a breach of these Terms, a security incident, a payment issue, or a legal or regulatory concern.
Product Development, Pilots, Beta Access and Early-Stage Releases
Some Eykegai products, modules, features, integrations, dashboards, workflows, automation tools, APIs, reporting functions, mobile interfaces, or web interfaces may be made available as part of a pilot, beta, trial, prototype, minimum viable product, proof of concept, private release, sandbox environment, controlled rollout, or early access programme.
Such releases are provided for product validation, technical testing, user feedback, market discovery, operational assessment, data modelling, workflow evaluation, security testing, and service improvement.
During any pilot, beta, trial, MVP, or early access period, features may be incomplete, experimental, limited, or subject to change. Functionality may be added, removed, suspended, restricted, modified, or reconfigured. Access may be granted only to selected users, businesses, communities, organisations, pilot partners, or approved participants.
Availability, performance, uptime, support levels, integrations, and reporting may differ from a fully commercial release. Product behaviour may be monitored for quality assurance, debugging, analytics, compliance, product improvement, safety, security, and performance optimisation.
Eykegai may collect feedback, usage insights, issue reports, user observations, workflow data, technical logs, and operational data to improve the product.
Participation in a pilot, beta, trial, MVP, or early access programme does not create any guarantee of continued access, future pricing, commercial launch, product availability, feature inclusion, service level commitment, or long-term support.
Eykegai reserves the right to amend, suspend, discontinue, withdraw, or reconfigure any pilot, beta, prototype, MVP, module, integration, API, dashboard, workflow, or feature where necessary for legal, regulatory, security, technical, operational, commercial, product development, or user safety reasons.
Feedback and Product Improvement
If you provide feedback, comments, suggestions, ideas, recommendations, bug reports, product observations, user experience notes, workflow requirements, technical requests, or improvement proposals, you agree that Eykegai may use such feedback to analyse, improve, develop, test, adapt, commercialise, or enhance its products, services, systems, features, and processes.
Unless otherwise agreed in writing, feedback provided to Eykegai shall not create any obligation for Eykegai to compensate you, implement the suggestion, or treat the feedback as confidential.
This does not transfer ownership of your personal data to Eykegai. Any personal data contained in feedback will be handled in accordance with our Privacy Policy and applicable data protection laws.
Where feedback is provided under a separate confidentiality agreement, pilot agreement, commercial agreement, or data processing agreement, the terms of that agreement shall apply.

Unless otherwise stated, all intellectual property rights in the Eykegai website, product ecosystem, software materials, platform interfaces, technical documentation, designs, workflows, data models, dashboards, product names, logos, visual identity, content, layouts, software descriptions, platform architecture, resources, and related materials are owned by or licensed to Eykegai.
The names Eykegai, J-Pool, Synergy, Insight, CORE, and all associated marks, logos, trade names, screenshots, product visuals, brand assets, designs, and slogans are intellectual property of Eykegai or its associated entities.
Eykegai is responsible for protecting and maintaining its own intellectual property, product assets, software architecture, and proprietary materials.
You are responsible for ensuring that any content, data, documents, brand assets, business information, or materials you submit to Eykegai are lawfully provided and do not infringe the rights of any third party.
You must not copy, reproduce, modify, distribute, publish, sell, license, scrape, reverse engineer, decompile, disassemble, extract, or create derivative works from any part of the website, software, product materials, platform interfaces, technical documentation, or intellectual property without our prior written consent.
Where Eykegai makes any software, platform, dashboard, API, integration, test environment, pilot environment, codebase, configuration, workflow, or technical material available to you, such access is limited, non-exclusive, revocable, and subject to applicable product-specific terms, pilot terms, subscription terms, or written agreements.

Where Eykegai makes product information, technical information, roadmap information, or service descriptions available on the website, Eykegai will aim to keep such information accurate, clear, and up to date. However, product features, timelines, pilot availability, pricing, technical specifications, and roadmap items may change as products develop.
Where Eykegai collects or processes personal data, Eykegai will handle such personal data in accordance with its Privacy Policy, applicable data protection laws, and any relevant data processing agreement.
Where Eykegai is responsible for confidential information under a written agreement, pilot agreement, commercial agreement, or non-disclosure arrangement, Eykegai will take reasonable steps to protect that information.
User, Client and Partner Responsibilities
You are responsible for using the website, Eykegai products, pilot environments, software platforms, dashboards, integrations, and digital resources lawfully, responsibly, and in accordance with applicable terms.
Where you submit information, content, documents, business data, customer data, learner data, employee data, journey data, operational data, or feedback to Eykegai, you are responsible for ensuring that you have the necessary rights, permissions, lawful basis, consents, notices, licences, and authority to provide or process that information.
For products such as Synergy, Insight, and CORE, business customers may upload or manage data relating to employees, users, learners, customers, suppliers, contacts, workflows, business records, operational processes, and organisational activity. In such cases, the customer is responsible for ensuring that the data is lawful, accurate, authorised, and managed in line with applicable internal policies and legal obligations.
For J-Pool, users, communities, Hosts, Pals, and participating organisations are responsible for following applicable J-Pool product terms, community rules, verification requirements, safety expectations, payment rules, journey coordination standards, and platform usage policies.
You must not use Eykegai products, systems, or pilot environments to process unlawful, harmful, infringing, discriminatory, misleading, unauthorised, or malicious data or content.
User Content
Where you upload, submit, send, or share any content through the website or any Eykegai product page, including enquiries, documents, messages, attachments, business information, product feedback, bug reports, user observations, workflow requirements, or technical requests, you confirm that you have the right to provide that content and that it is accurate, lawful, non-infringing, and not misleading.
You retain ownership of your submitted content. However, you grant Eykegai the right to use, store, process, review, transmit, and manage that content where necessary to respond to your enquiry, provide services, operate products, manage pilots, perform contracts, improve systems, resolve support issues, maintain security, and comply with legal obligations.

Depending on the product, service, contract, and use case, Eykegai may act as a data controller, data processor, or service provider. Where Eykegai determines the purposes and means of processing personal data, Eykegai will generally act as a controller. Where Eykegai processes personal data on behalf of a business customer, organisation, community, or client, Eykegai may act as a processor and such processing should be governed by an appropriate data processing agreement or product-specific contract.
Eykegai will take reasonable technical and organisational measures to protect personal data against unauthorised access, loss, misuse, alteration, disclosure, or destruction, having regard to the nature of the data, the product, the processing activity, and the risks involved.

Where you sign up to receive updates, newsletters, product information, pilot invitations, blog updates, event information, or marketing communications, we will handle your details in accordance with our Privacy Policy and applicable electronic marketing rules.
You may unsubscribe from marketing communications at any time by using the unsubscribe link in our emails or by contacting us directly.
Eykegai may still send non-marketing communications where necessary, including service messages, legal notices, account notifications, security updates, product administration messages, pilot updates, support responses, or information relating to an existing business relationship.
This website and Eykegai products may contain links to or integrations with third-party websites, platforms, tools, APIs, payment providers, analytics services, hosting services, communication tools, plugins, embedded content, or external resources.
Eykegai will take reasonable care when selecting or using third-party services that support its website, products, or operations. However, third-party services are operated by independent providers and may be subject to their own terms, policies, security standards, data processing arrangements, availability, and service conditions.
Where an Eykegai product integrates with a third-party system, you are responsible for ensuring you have the necessary rights, permissions, licences, consents, and lawful basis to connect, transfer, upload, access, or process data through that integration.
Website Availability, Security and Information Accuracy
Eykegai will use reasonable efforts to maintain a secure, functional, and reliable website.
However, we do not guarantee that the website will always be uninterrupted, error-free, fully compatible, or available at all times. Maintenance, updates, hosting issues, cyber incidents, third-party outages, internet failures, software changes, or events outside our reasonable control may affect availability.
Eykegai will take reasonable steps to keep website information accurate and up to date, but product descriptions, pricing, availability, timelines, pilots, feature lists, technical specifications, integrations, deployment models, screenshots, roadmap information, and service descriptions may change.
Any roadmap, pilot feature, beta feature, estimated launch date, development timeline, or future functionality described on this website is indicative only and does not create a binding commitment unless expressly agreed in writing.
Nothing on this website should be treated as legal, financial, transport, operational, regulatory, technical, compliance, tax, accounting, or professional advice.
Paid Services, Commercial Engagements, Cancellation and Refunds
Where Eykegai provides paid consultancy, implementation, configuration, custom development, training, support, onboarding, technical setup, workflow design, product deployment, software access, pilot support, or project work, the relevant proposal, statement of work, invoice, order form, service agreement, product-specific terms, subscription terms, or written contract shall apply.
Eykegai is responsible for delivering agreed paid services with reasonable skill and care and in accordance with the agreed scope.
Clients are responsible for providing timely information, access, approvals, content, credentials, feedback, data, payment, and stakeholder availability required for Eykegai to deliver the relevant services.
Unless expressly agreed otherwise in writing, bespoke implementation, configuration, integration, development, workflow design, technical support, or product deployment does not transfer ownership of Eykegai’s underlying software, source code, frameworks, templates, tools, libraries, product architecture, know-how, or pre-existing intellectual property.
Cancellation and refund rights depend on the type of product, service, subscription, pilot, or commercial engagement purchased and any applicable written agreement.
For bespoke services, consultancy, implementation, custom development, configuration, onboarding, technical support, training, or project work, refunds may be limited once work has started, resources have been allocated, deliverables have been prepared, third-party costs have been incurred, or services have been provided.
Where a client cancels a project after work has started, Eykegai may charge for work completed, time spent, committed resources, third-party costs, administrative costs, and expenses incurred up to the cancellation date.
Product subscriptions, pilots, platform fees, SaaS services, app-based payments, community fees, journey-related payments, or software access charges may be subject to separate product-specific cancellation and refund terms.
Nothing in these Terms affects statutory rights that cannot legally be excluded.
Liability, Responsibility and Compliance
Nothing in these Terms limits or excludes Eykegai’s liability where it would be unlawful to do so. This includes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, and any other liability that cannot be excluded or restricted under applicable law.
Subject to the above, Eykegai may be responsible for direct losses that are reasonably foreseeable and arise directly from:
a material breach of these Terms by Eykegai;
a failure to provide paid services with reasonable skill and care;
a breach of a written product-specific agreement, pilot agreement, subscription agreement, statement of work, order form, data processing agreement, or commercial contract;
a breach of confidentiality obligations owed by Eykegai under a written agreement;
a data protection breach where Eykegai is legally responsible as a controller or processor under applicable data protection laws;
a failure by Eykegai to meet expressly agreed service commitments, where those commitments are set out in a written agreement.
Eykegai will not be responsible for losses caused by a user’s misuse of the website or products, inaccurate or unlawful data submitted by a user or client, unauthorised use of access credentials, third-party services outside Eykegai’s control, integrations managed by third parties, or events outside Eykegai’s reasonable control.
Eykegai will not be responsible for indirect or consequential losses, including loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings, or reputational loss, except where such liability cannot legally be excluded.
Where Eykegai’s liability cannot be excluded, Eykegai’s liability shall be limited to the maximum extent permitted by applicable law and, where relevant, to the liability cap stated in the applicable product-specific terms, pilot agreement, subscription agreement, statement of work, order form, data processing agreement, or commercial contract.
You are responsible for ensuring that your use of the website, Eykegai products, submitted data, integrations, communications, and business processes complies with all laws, regulations, industry rules, internal policies, and third-party obligations applicable to you.
Eykegai products are designed to support operational, administrative, mobility, learning, CRM, ERP, and business coordination processes. They do not replace your responsibility to comply with applicable legal, regulatory, employment, transport, financial, safeguarding, health and safety, data protection, tax, accounting, or industry-specific obligations.
Indemnity
You agree to indemnify Eykegai, its officers, directors, employees, contractors, affiliates, representatives, and licensors against claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the website; breach of these Terms; infringement of third-party rights; submission of unlawful, inaccurate, harmful, or unauthorised content; unauthorised use of Eykegai intellectual property; misuse of any Eykegai product, software, pilot environment, API, integration, or platform; or failure to obtain required permissions, licences, consents, or lawful basis for data submitted to Eykegai.
This indemnity will not apply to the extent that the relevant claim, loss, liability, damage, cost, or expense was caused by Eykegai’s own breach of these Terms, negligence, unlawful conduct, or breach of a written agreement.
Confidentiality
Where Eykegai shares non-public information with you as part of a pilot, product demo, commercial discussion, partnership conversation, technical review, investor conversation, business engagement, implementation, or project, you must not disclose that information without our permission unless it is already public or disclosure is required by law.
Confidential information may include product roadmaps, pricing, technical architecture, workflows, software designs, platform screenshots, business plans, security information, customer information, commercial proposals, pilot details, development plans, source materials, and any information reasonably understood to be confidential.
Eykegai will also take reasonable steps to protect confidential information that you share with us in the context of a product demo, pilot, commercial engagement, support request, or written agreement.
Separate confidentiality agreements, non-disclosure agreements, pilot agreements, or commercial contracts may also apply.

Products, services, pilots, subscriptions, software access, commercial engagements, and user relationships may be governed by different laws depending on the contracting entity, product territory, user location, product deployment, and applicable product-specific terms.

Where a product-specific agreement, subscription agreement, pilot agreement, data processing agreement, order form, statement of work, or commercial contract includes its own governing law and jurisdiction clause, that clause shall apply to the relevant product, service, pilot, subscription, or commercial engagement.
Any dispute shall be handled by the courts or dispute resolution forum specified in the applicable product-specific terms, commercial agreement, or written contract. Where no such terms exist, disputes relating to EYKEGAI UK LTD shall be subject to the courts of Scotland, and disputes relating to EYKEGAI LIMITED shall be subject to the courts of Nigeria.
